1. Use of Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services for any fraudulent, abusive, illegal, or harmful activity.
• Interfere with or disrupt the Services or the networks or systems connected to them.
• Attempt to gain unauthorized access to any part of the Services or another user’s account.
• Use the Services to send unlawful, harassing, or unsolicited communications.

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms.

2. Accounts

Certain parts of our Services may require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Client Engagements

If you engage us as a client, the relationship will be governed by a signed service agreement or contract, which will outline scope, timelines, fees, and deliverables. These Terms apply to your use of our website and related services; in the event of a conflict between these Terms and your signed service agreement, the service agreement controls.

You agree to provide accurate and timely information necessary for us to deliver services effectively. We reserve the right to suspend or terminate services if contractual terms are breached, payments are not made, or cooperation is lacking.

Compliance for communications we operate on your behalf. If we operate SMS, voice, or other communication systems on your behalf, you are responsible for compliance with all laws applicable to your communications and the data you provide to us, including obtaining all required consents (such as prior express written consent for marketing messages), providing required disclosures, and honoring opt-out and Do Not Call requests. You will not instruct us to send communications to recipients who have not provided the necessary consent.

Intellectual property. All intellectual property produced specifically for clients is owned by AI Saige until full payment is received, after which ownership transfers as outlined in the service agreement. We retain ownership of our pre-existing tools, frameworks, methodologies, software, and know-how, and of any general improvements to them, and may reuse them in other engagements.

4. Hiring and Applicants

If you apply to work with us, you agree to participate in our hiring process, which may include AI-powered resume screening, AI Voice Screenings where you will interact with an AI voice agent, and recording of these screenings for internal hiring review.

By submitting your application, you consent to the use of AI tools and recording of these screenings as part of the recruitment process. Final hiring decisions involve human review.

Submitting an application does not guarantee employment. We reserve the right to modify or discontinue our hiring process at any time.

5. AI Tools, Recordings, and Outputs

Some of our Services involve the use of AI-powered systems, including chatbots, text-based AI assistants, and voice agents. By interacting with these systems, you acknowledge and agree that:

• You may be communicating with an AI-powered assistant rather than a human representative.
• Your conversations may be recorded or transcribed for quality assurance, service improvement, or contractual purposes, in accordance with our Privacy Policy and applicable law.
• After submitting a form on our website and opting in, an AI assistant may contact you via text message to assist with your inquiry.
• Recordings and conversation logs may be stored securely and accessed by authorized personnel only.
• You are responsible for any information you choose to share during these interactions.

AI outputs. AI-generated responses and outputs may contain errors, omissions, or inaccuracies and are provided for convenience. You should not rely on AI-generated outputs as a substitute for professional judgment, and you are responsible for independently verifying any information before relying on it.

6. Text Messaging / SMS

By opting in to receive text messages from AI Saige, LLC through our website, forms, or other opt-in methods, you agree to the following:

• Consent: You authorize AI Saige, LLC to send you automated text messages at the phone number you provide. After you submit a form and opt in, an AI assistant will reach out via text to assist with your inquiry. You may also receive follow-up communications related to your request. Marketing or promotional texts are sent only with your separate prior express written consent.
• Message Frequency: Message frequency varies based on your interactions.
• Message and Data Rates: Message and data rates may apply. Contact your wireless carrier for details.
• Opt-Out: You may opt out of text messages at any time by replying STOP to any message. You will receive a one-time confirmation and no further messages unless you re-subscribe.
• Help: Reply HELP to any message for support, or contact us at contact@aisaige.io.
• AI Disclosure: Text messages may be generated by an AI assistant. By opting in, you acknowledge that you may be communicating with an AI-powered system.
• Consent Not Required for Purchase: Agreeing to receive text messages is not a condition of purchasing any goods or services from AI Saige, LLC.
• Carrier Disclaimer: AI Saige, LLC is not responsible for delayed or undelivered messages caused by carrier issues, network outages, or device incompatibility.
• No Sharing of Opt-In Data: We do not share or sell your SMS opt-in consent or phone number to third parties or affiliates for their own marketing purposes.

7. Voice and AI Calling

Some of our Services involve AI voice agents that place and receive phone calls. By interacting with these systems, you acknowledge and agree that:

• You may be speaking with an automated AI voice agent rather than a live person.
• Calls may be recorded and transcribed for quality assurance, record-keeping, service improvement, or contractual purposes. Where the law requires consent to record, notice will be provided at the beginning of the call.
• You may opt out of future calls at any time during a call or by contacting us at contact@aisaige.io.
• Marketing or promotional calls are placed only where appropriate consent has been obtained.

8. Intellectual Property

All content, software, features, and functionality of our Services — including AI models, text, graphics, logos, icons, and code — are owned by or licensed to AI Saige and are protected by intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use our materials without our prior written permission.

9. Third-Party Services

Our Services may integrate with or link to third-party platforms (e.g., CRMs, analytics tools, hosting services). We are not responsible for the availability, accuracy, or practices of third parties. Your use of third-party services is governed by their respective terms.

10. No Professional Advice

Our Services and any AI-generated outputs are provided for general business and informational purposes and do not constitute legal, financial, medical, or other professional advice. We are not a law firm and do not provide legal advice. Clients and users are solely responsible for ensuring their own compliance with all laws applicable to their business and communications.

11. Disclaimers

Our Services are provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee that the Services will be uninterrupted, error-free, secure, or meet your specific expectations.

To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, AI Saige and its affiliates, officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including loss of profits, data, goodwill, or other intangible losses.

Our total liability for any claim shall not exceed the amount you paid us for the specific service giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless AI Saige and its affiliates, officers, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights or applicable law.

14. Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms or applicable laws. Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Michigan, USA, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in Wayne County, Michigan, and you consent to the personal jurisdiction of those courts.

16. Electronic Communications

By using our Services, you consent to receive communications from us electronically, including by email, text message (where you have opted in), and notices posted on our website. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

17. General

• Entire Agreement. These Terms, together with our Privacy Policy and any signed service agreement, constitute the entire agreement between you and AI Saige regarding the Services.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
• Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.

We may update these Terms from time to time. The latest version will always be available on our website with the updated effective date. Continued use of our Services constitutes acceptance of any changes.
